Terms of Service.

These Terms of Service (the “Terms”) are a binding agreement between you and MindHYVE.ai, Inc., a Nevada C-Corporation (“MindHYVE,” “we,” “us,” or “our”). They govern your access to and use of our websites, applications, and the products and services described below (collectively, the “Services”). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

1. What we offer

MindHYVE builds Agentic AI Operating Systems powered by AXIOM™, our Metacognitive Reasoning Architecture, and the Digital Employees that operate them. We offer these as paid subscriptions and institutional licenses, including:

• ArthurAI™ — the Agentic Education OS.
• ChironAI™ — the Agentic Healthcare OS.
• JustineAI™ — the Agentic Legal OS.
• TheoAI™ — the Agentic Islamic-theology OS.

The specific features, usage limits, and price of each plan are presented at the point of purchase for that product before you are charged.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under your account. Authentication is provided through Microsoft Entra ID; you must comply with its terms as well as ours.

3. Subscriptions, fees, billing, and renewal

Paid Services are sold on a subscription basis billed in advance on a recurring monthly or annual cycle, or as otherwise stated at checkout. By subscribing, you authorize us and our payment processor (Stripe, Inc.) to charge your payment method the applicable fees, plus any taxes, on each billing date until you cancel.

• Auto-renewal. Subscriptions renew automatically at the end of each term at the then-current price for that plan unless you cancel before the renewal date.
• Price changes. We may change prices; we will give you advance notice and the new price applies on your next renewal.
• Taxes. Fees are exclusive of taxes, which you are responsible for unless we are legally required to collect them.
• Failed payments. If a charge fails, we may retry and may suspend access until payment succeeds.

Cancellation is governed by our Cancellation Policy, refunds by our Refund & Dispute Policy, and any promotional offers by our Promotion Terms.

4. Acceptable use

Your use of the Services must comply with our Acceptable Use & Restrictions policy, including all prohibited uses and applicable export-control restrictions.

5. Nature of the Services; no professional advice

Our Services provide AI-generated reasoning support to qualified professionals and institutions. Outputs are decision support, not a substitute for the independent professional judgment of a licensed clinician, attorney, educator, scholar, or other professional, and do not create any professional-client relationship. You are responsible for reviewing outputs before relying on or acting on them. The Services do not provide medical, legal, financial, or religious advice.

6. Intellectual property

The Services, including AXIOM™, Eve-Grid™, the Eve-Genesis datasets, and all related software, models, and content, are owned by MindHYVE or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services per these Terms. You retain ownership of content you submit (“Customer Content”) and grant us the rights needed to operate the Services, as described in our Privacy Policy.

7. Confidentiality and data protection

Our handling of personal data is described in our Privacy Policy. Where we process regulated data (including PHI under HIPAA or student records under FERPA), we do so under the applicable data-protection agreement for that product.

8. Disclaimers and limitation of liability

The Services are provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, MindHYVE will not be liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold MindHYVE harmless from claims arising out of your use of the Services in violation of these Terms or applicable law.

10. Term and termination

These Terms apply while you use the Services. We may suspend or terminate access for violation of these Terms or to comply with law. You may stop using the Services at any time; see the Cancellation Policy.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and you and MindHYVE submit to the exclusive jurisdiction of the state and federal courts located in Orange County, California, except where applicable law requires otherwise.

12. Changes to these Terms

We may update these Terms. Material changes will be posted here with a new effective date and, where required, communicated to you. Continued use after changes take effect constitutes acceptance.
